The Corporate Law area is focused on advisory and consulting services for diverse areas concerning the entrepreneurial activity and that have legal consequences. This area in particular comprises the following lines of services.
Companies
The Firm is qualified for providing advice in all matters concerning the creation, amendment and legal paperwork related with companies. This activity embraces the incorporation and liquidation thereof to the counseling on corporate reorganization operations, design of corporate governance policies, transformations, mergers and demergers of companies. The Firm holds special expertise and knowledge on the creation of Simplified Joint Stock Companies (Sociedades por Acciones Simplificadas - SAS) and their structural customizing to specific needs.
Purchase and Sale of Businesses
La Firma cuenta con amplia experiencia en el asesoramiento de procesos de compra o venta de compañías, tanto en la ejecución de procesos de debida diligencia (due dulligence) como en el proceso de negociación. La Firma ha participado tanto en ventas totales de compañías como en la estructuración de Joint Ventures resultantes de ventas parciales, casos en los cuales ha asesorado la negociación de acuerdos de accionistas de diversa naturaleza y complejidad.
Foreign Investment
En desarrollo de esta actividad, la Firma asesora a los inversionistas extranjeros, tanto en su decisión de invertir en el país, mediante el suministro de la información legal que requieran sobre el particular, como en los pasos a seguir para perfeccionar tales inversiones. Así mismo asesora a los empresarios nacionales interesados en invertir en el exterior.
Contracts and Contracting Processes
The Firm holds ample experience and knowledge on the structuring of private and public contracting processes. In this regard, the Firm has conducted successful assessment and diagnosis of contracting processes, advising on the structuring of procedures and contractual documents, training on contracting procedures, performance and liquidation of contracts and contractual outsourcing. Likewise, the Firm provides counseling on negotiation, drafting and performance of all sort of civil and commercial contracts, both for services and for distribution, representation and agency of national and foreign entrepreneurs, among others.
TV Production and Audiovisuals
For over ten years, the Firm has provided legal services for the production of diverse TV programs including novellas, contests, series and reality shows. Likewise, it has counseled cinematographic productions and audiovisuals. In furtherance of this activity, the Firm has gained ample experience on the hiring of actors, music, musicalization for audiovisual works, locations, technical staff, negotiation of licenses for production or program broadcasting and other aspects inherent to the TV and cinema industry.
Contracts for Oil-Related Services
The Firm is highly experienced on the contracting of oil-related services, including drilling and well services, land and sea seismic, construction, technical services and other services relevant for the oil industry. In this connection, the Firm has actively participated in the drafting of rules and procedures for purchases and contracting, market research and assessment, as well as in the design of swift and efficient contracting processes.
Collective Portfolios and Private Capital Funds
The Firm has successfully ventured into the structuring of open and close Collective Portfolios. In furtherance thereof, it provides services on the preparation of Portfolio rules, processing of government permits, negotiation of contracts required for the operation of Portfolios and advises on the legal structuring of real property, commercial, industrial investment projects, among others.

One of the most important intangible assets in a company is made up by trademarks and patents, and, in this area, the firm is highly qualified to provide legal advice in all issues in connection therewith. Services rendered at this area range from the paperwork concerning registration applications both inside and outside the country, the filing of and replying to objections, defense in case of infringements, to the counseling on contracts that involve such rights, such as license and franchise agreements. Likewise, a full review of the trademark portfolio held by a company is carried out, including advice on its strengths and weaknesses and suggestion of solutions in case of difficulties. Besides, the Firm holds ample experience on negotiating contracts encompassing or purported for the acquisition, licensing or assignment of copyright, namely artistic contracts, artistic representation, contracts for the execution of Works protected by copyright, musical production and editing, among others.
Litigation, Insurance and Transportation
Civil and Commercial Litigation
The Firm attends civil and commercial litigation in fields such as civil liability, insurance, transportation, civil and commercial agreements and industrial property, among others.
Administrative and Constitutional Litigation
The Firm attends litigation regarding administrative and constitutional matters, particularly those derived from administrative contracts, processes of administrative act nullities and restitution of rights and direct relief. Likewise, it attends protection-of-rights actions (tutelas) and enforcement actions. The Firm relies on experience for attending judicial proceedings not only before the ordinary and contentious-administrative jurisdiction, but also before Arbitral Tribunals.
Insurance
The Firm has specialized attorneys in this area. The Firm’s utmost experience is focused on insurance regarding property, life, liability and transportation, whether maritime, aerial or land. Besides court or out-of-court representation for companies, the Firm provides legal counseling on objections, analysis of insurance policies and, in general, all issues related with insurance and re-insurance activities.
Transportation
The Firm has specialized knowledge on the transportation field, whether land, aerial or maritime. In the development of such activity, legal counseling is provided as to concepts and claims regarding transportation of goods and passengers, general damages, collisions, maritime damages and accidents, salvage/capture of ships, maritime agency, vessel and motor vessel mortgages, contamination and the relevant procedures before maritime and aeronautical authorities. This activity is performed on a close and coordinated basis with the litigation and insurance practice, due to the intimate and essential relationship amongst them.
Social Security related with Insurance Law
The Firm has a long background and expertise on the handling of litigation and consulting services on matters concerning social security related with Insurance Law. The Firm offers consulting services to its clients as well as the handling of litigation cases in all these matters including, but not limited to, incidents covered by the Professional Risk General System, incidents covered by the General Pension Fund and the corresponding coverage provided on these events by provisional insurance as set by Law 100 of 1993, the relevant recovery actions contemplated by the Law in favor of Professional Risk Managing Companies, and many other aspects.
